Ajay Kumar Ramchandran

Ajay brings around 24 years of experience advising on fund structuring, deal structuring, portfolio company structures, Cap table restructuring , with deep expertise across domestic and international taxation. His practice spans the full investment lifecycle, including investments, exits, M&A transactions and complex cross-border arrangements.

Prior to joining Aeka, Ajay spent over a decade at PwC, where he co-led the Venture Capital & Startup Tax structuring practice. During his tenure, he advised on fund set-up, deal structuring, entity holding structures, and regulatory matter including assistance in RBI/ SEBI registrations and approvals and navigate complex tax, regulatory, and commercial considerations, including matters involving the DEA, RBI, SEBI, and IFSC (GIFT City).

Ajay regularly advises leading Venture Capital funds, and their portfolio companies on cross-border investments, cap table realignments, strategic acquisitions, and bespoke transaction frameworks. His multidisciplinary expertise enables him to navigate complex tax, regulatory and commercial considerations, including if required, regulatory applications before the DEA, RBI, SEBI, and IFSC (GIFT City).
